Terms of Service

Please read these Terms of Service carefully before using our company registration services. By engaging our services, you agree to be bound by these terms.

1. About us

EU Company Formation provides professional company registration and related corporate services in Bulgaria and Cyprus. We can be reached at +357 96 066334.

2. Services offered

We offer the following services, as described on our website:

  • Option 1: New EOOD company registration with Bulgarian bank account assistance.
  • Option 2: Fully remote ready-made company transfer — includes VAT registration and registered address.
  • Option 3: New VCC (Variable Capital Company) registered remotely in your name — includes VAT registration and registered address.
  • Company registration services in Cyprus (upon request and separate quote).

3. Engagement and payment

3.1 Advance payment. We require 50% of the total fee in advance before commencing work. The remaining 50% is due upon completion of the registration process.

3.2 Invoicing. If you are paying from an EU company account, you must provide your VAT number to receive a proper invoice.

3.3 Bank assistance fee (Option 1). The €200 bank assistance fee is contingent on a successful bank account opening. A free pre-assessment will be conducted before any commitment is made. If bank approval is not obtained, the €200 fee is not charged.

3.4 Currency. All fees are quoted and payable in Euros (EUR).

4. Client obligations

To enable us to perform the services, you agree to:

  • Provide accurate, truthful, and complete information as requested, including your full name, passport or EU ID details, and any other information required for registration.
  • Respond to requests for information or documents in a timely manner.
  • Notarize and return required documents within the agreed timeframe.
  • Notify us promptly of any changes to information previously provided.
  • Comply with all applicable laws and regulations in your country of residence and in Bulgaria/Cyprus.

5. Timelines

Estimated timelines provided on our website are indicative only. Actual timelines may vary due to factors outside our control, including the speed of government registration authorities, the time taken by you to return notarized documents, and bank processing times. We will keep you informed of progress throughout.

6. Limitations and exclusions

6.1 Not legal advice. The information we provide is for the purposes of company registration only. It does not constitute legal, tax, accounting, or financial advice. You should consult qualified professionals for advice specific to your circumstances.

6.2 Bank account. While we assist with bank account applications under Option 1, we cannot guarantee bank approval, as this decision rests entirely with the bank. The pre-assessment minimises this risk, but approval is never guaranteed.

6.3 Wise / Revolut. We cannot guarantee that online banking platforms such as Wise or Revolut will approve your business account application, as this is subject to their own onboarding criteria.

6.4 Government changes. Registration procedures, fees, and requirements may change due to legislative or regulatory amendments in Bulgaria or Cyprus. We will inform you of any such changes that affect your engagement as soon as they become known to us.

7. Liability

To the maximum extent permitted by applicable law, EU Company Formation shall not be liable for: (a) any indirect, incidental, or consequential losses; (b) losses arising from inaccurate or incomplete information provided by you; (c) delays caused by third parties, including government authorities and banks; (d) any loss of business, profits, or anticipated savings.

Our total liability under any engagement shall not exceed the total fees paid by you for the relevant service.

8. Confidentiality

We treat all information you provide as confidential and will not disclose it to third parties except as necessary to perform the services, as required by law, or with your explicit consent. Please refer to our Privacy Policy for full details.

9. Termination

Either party may terminate the engagement by written notice. If you terminate after work has commenced, you remain liable for fees proportional to the work completed. If we terminate due to your breach of these Terms, advance payments are non-refundable to cover work already performed.

10. Governing law

These Terms of Service shall be governed by and construed in accordance with the laws of the Republic of Cyprus. Any disputes shall be subject to the exclusive jurisdiction of the courts of Cyprus.

11. Changes to these terms

We reserve the right to update these Terms of Service at any time. The most recent version will always be available on this page. Continued use of our services after changes are published constitutes acceptance of the revised terms.
